Terms of Service

1. Who You Are Agreeing With

These Terms of Service ("Terms") are a legal agreement between you ("you", "user") and Todoshi Technologies Pvt. Ltd., a private limited company registered in Kolkata, West Bengal, India ("we", "us", "our", "NOEZDAY", "Company"). By downloading the NOEZDAY app, creating an account, or using noezday.com, you agree to be bound by these Terms.

2. What NOEZDAY Is — and What It Is Not

NOEZDAY is a behavioral stabilization and life-discipline platform. It provides breathing exercises, grounding techniques, guided meditations, journaling tools, daily check-ins, XP-based progress tracking, and structured challenge programs (RESET, REBUILD, ASCEND).

3. Eligibility

You must be at least 18 years of age to use NOEZDAY. By creating an account, you confirm that you are 18 or older. If you are under 18, you must not use this app. We do not knowingly permit anyone under 18 to create an account. If we discover that a user is under 18, we will immediately terminate their account and delete their data.

4. Your Account

• You are responsible for maintaining the confidentiality of your login credentials. Do not share your password with anyone.
• You are responsible for all activity that takes place under your account.
• If you suspect unauthorised access to your account, notify us immediately at [email protected].
• You may only create one account per person. Creating multiple accounts to circumvent plan restrictions or level requirements is not permitted.
• You must provide an accurate, valid email address. Accounts registered with false information may be terminated without notice.

5. Plans and Pricing

NOEZDAY offers three subscription plans:

• Starter (Free) — access to core tools with no time limit and no credit card required. Core tools include 6 breathing techniques, all 10 grounding exercises, the Calm Now emergency protocol, daily check-ins, free-write journaling, and 3 daily micro-actions. The Starter plan is free permanently.
• Pro — ₹199/month — everything in Starter, plus the full breathing library, complete meditation library, sleep tools, 14-day challenges, 4 daily micro-actions, and 3 streak freezes per week.
• Premium — ₹499/month — everything in Pro, plus a 1.5× XP multiplier, 6 daily micro-actions, all challenges up to 30 days, weekly behavioral insights, deep reset protocols, premium adventure activities, and early access to new features.

6. Billing and Subscriptions

• Subscriptions are billed monthly in advance. Your subscription renews automatically on the same date each month unless cancelled before the renewal date.
• If you subscribe through the NOEZDAY app directly, billing is processed by Razorpay in Indian Rupees (INR), inclusive of applicable GST.
• If you subscribe through the Apple App Store or Google Play Store, billing is managed entirely by Apple or Google under their respective payment terms and pricing. We have no control over App Store or Play Store billing.
• We reserve the right to change subscription prices. Any price change will be communicated to you via email at least 30 days in advance. Continued use after the price change takes effect constitutes acceptance of the new price.
• All prices are in Indian Rupees. We do not offer subscriptions in other currencies at this time.

7. Cancellations and Refunds

• Cancellation: You may cancel your subscription at any time. Your access to Pro or Premium features continues until the end of your current paid billing period. Cancellation stops future renewals; it does not generate a refund for the current period.
• Refund policy: We offer a 7-day refund for first-time subscribers on a new plan. If you subscribed for the first time to Pro or Premium and are not satisfied, contact [email protected] within 7 days of your first charge, and we will issue a full refund. This applies only to the first charge on a new plan — not to renewals or plan upgrades.
• App Store / Google Play refunds: If you subscribed through the App Store or Play Store, refund requests must be directed to Apple or Google. We cannot process refunds for transactions made through those platforms.
• We may, at our sole discretion, offer refunds in exceptional circumstances such as billing errors or extended service outages, even outside the standard 7-day window.

8. XP, Levels, and Challenge Programs

• XP (Experience Points) and level badges (Recruit → Operator → Elite → Unbreakable → Legend) are earned through genuine, consistent use of the app. They cannot be purchased.
• Premium subscribers earn XP at a 1.5× multiplier. This multiplier applies only while your Premium subscription is active.
• Challenge programs (RESET — 7 days, REBUILD — 14 days, ASCEND — 21 days) must be completed in sequence. Completing RESET unlocks REBUILD; completing REBUILD unlocks ASCEND. There are no shortcuts.
• We reserve the right to adjust XP values, level thresholds, or challenge requirements. Any such adjustment will not retroactively reduce your existing XP total.
• XP and progress data are tied to your account. If you delete your account, all XP and level progress is permanently and irreversibly lost.

9. Acceptable Use

You agree not to:

• Use NOEZDAY for any unlawful purpose or in violation of applicable Indian law or international law
• Attempt to reverse-engineer, decompile, disassemble, or extract the source code of the app
• Attempt to gain unauthorised access to our servers, databases, APIs, or other users' accounts
• Use automated scripts, bots, or other automated means to interact with the app
• Impersonate any person, company, or entity
• Create multiple accounts to exploit free trial periods or circumvent restrictions
• Upload or transmit any content that is illegal, harmful, defamatory, obscene, or that infringes the intellectual property rights of any third party
• Interfere with or disrupt the integrity or performance of the app or its underlying infrastructure

10. Your Content

Journal entries, mood ratings, and other content you create in the app ("Your Content") belong to you. By using the app, you grant Todoshi Technologies Pvt. Ltd. a limited, non-exclusive, royalty-free licence to store, process, and transmit Your Content solely to the extent necessary to provide the service to you. We do not use Your Content for advertising, marketing, training AI models, or any purpose beyond operating your account.

11. Intellectual Property

The NOEZDAY name, logo, brand identity, app design, the challenge program names (RESET, REBUILD, ASCEND), level names (Recruit, Operator, Elite, Unbreakable, Legend), the five-stage framework (Safety → Stabilisation → Structure → Growth → Exploration), and all associated content, code, and materials are the exclusive intellectual property of Todoshi Technologies Pvt. Ltd. and are protected under Indian copyright, trademark, and intellectual property law.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any NOEZDAY intellectual property without our prior written permission.

12. Third-Party Services

• Crisis helplines: The SOS feature connects you directly to independent third-party helplines. We have no control over their availability, response times, or advice. Always call emergency services (Police: 100, Ambulance: 108) in a life-threatening situation.
• Adventure Activities: When the Adventure Activities feature launches, it will connect to third-party activity providers. Participation in any physical activity is at your own risk and subject to the third party's own terms and safety requirements. NOEZDAY accepts no liability for injury, loss, or damage arising from participation in adventure activities.
• Payment processors: Razorpay, Apple, and Google operate independently. Their terms of service and privacy policies govern your payment transactions with them.

13. Disclaimers

NOEZDAY is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable Indian law, Todoshi Technologies Pvt. Ltd. expressly disclaims all warranties of any kind, whether express, implied, or statutory, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the app will be uninterrupted, error-free, or free of viruses or other harmful components
• Warranties that any specific results will be achieved through use of the app
• Warranties regarding the accuracy, completeness, or reliability of any content in the app

14. Limitation of Liability

To the maximum extent permitted by applicable Indian law, Todoshi Technologies Pvt. Ltd. and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of revenue, loss of profits, or loss of goodwill, arising from or in connection with your use of or inability to use NOEZDAY.

Our total aggregate liability to you for any and all claims arising from these Terms or your use of NOEZDAY shall not exceed the amount you paid us in the three (3) months immediately preceding the event giving rise to the claim.

15. Indemnification

You agree to indemnify, defend, and hold harmless Todoshi Technologies Pvt. Ltd. and its officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of NOEZDAY; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; or (d) any content you submit through the app.

16. Termination

• By you: You may stop using NOEZDAY and delete your account at any time. Upon account deletion, your data will be erased in accordance with our Privacy Policy.
• By us: We reserve the right to suspend or permanently terminate your account at any time, with or without prior notice, if you violate these Terms, engage in behaviour that is harmful to other users or to NOEZDAY, or for any other reason at our discretion. In the event of termination for cause, no refund will be issued for any unused portion of your current subscription period.
• Provisions of these Terms that by their nature should survive termination will do so, including sections on intellectual property, disclaimers, limitation of liability, and governing law.

17. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of NOEZDAY shall be subject to the exclusive jurisdiction of the courts of Kolkata, West Bengal, India.

Before initiating any legal proceedings, you agree to first attempt to resolve the dispute informally by contacting us at [email protected]. We will make good-faith efforts to resolve disputes within 30 days of receiving written notice.

18. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you via email at least 14 days before the changes take effect, and display a notice within the app. The updated Terms will be posted at noezday.com/terms with a revised "Last updated" date. Continued use of NOEZDAY after the effective date constitutes your acceptance of the updated Terms. If you do not agree with any changes, you may terminate your account before they take effect.

19. Miscellaneous

• Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and NOEZDAY regarding your use of the app.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
• No waiver: Our failure to enforce any provision of these Terms shall not be construed as a waiver of that provision or any other provision.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely.
